Verifiable contractual differences
How can you identify changes to a contract using AI without confusing a change in wording with a change in effect?

In short
This half-day session of 3 hours offers a guided introduction to AI-assisted contract comparison. Using two fictitious versions, participants identify differences, check quotations and prepare a comparison table. They measure missed differences and distinguish findings from interpretations to be referred to the legal team.
Why this training?
A subtle change to a time limit, amount or cross-reference can go unnoticed in a new version. A fluent summary is therefore not enough: each difference must be traceable in both texts. AI can help organise differences, but it can also miss a deletion or attribute a legal effect that has not been established. The course teaches participants to separate the identification of documentary differences from analysis reserved for a qualified professional. Ongoing case study: The fictitious organisation « Selnacre Archivage » receives a revised version of its document maintenance contract. The supplier has changed the termination notice period, the liability cap and a pricing annex, while moving an unchanged clause. Participants prepare the information needed for a legal review, without recommending signature. Transfer to the workplace: For your next authorised comparison, reuse the table and the prompt, check the differences against the source documents, then refer uncertain points to the legal department. Keep references to the versions examined and a record of human corrections.
Objectives of this training
- Identify the versions, annexes and boundaries of the comparison scope.
- Formulate a comparison request with quotations and references.
- Classify additions, deletions, changes and relocations.
- Check the proposed differences against the source texts.
- Measure missed differences and false reports against an answer key.
Who is it for and what are the prerequisites?
Roles and tasks concerned
- Legal assistants and administrative staff responsible for preparing contract reviews.
- Buyers and operational managers receiving revised versions of supplier contracts.
Prior skills
- No prior AI knowledge required: initial hands-on activities are guided.
- Ability to read a contractual document and locate a clause or annex.
What you will work on
Define the scope of the comparison
Objective: Recognise what AI can compare and what requires rereading. Introduction to the assistant, risks of missed differences, confidentiality, reference versions and missing annexes.
Request traceable differences
Objective: Obtain an initial comparison without requesting legal advice. Prompt structure: identified texts, categories of differences, exact quotations, references and explicitly stated uncertainties.
Check clauses and cross-references
Objective: Distinguish genuine differences from misleading matches. Additions, deletions, negations, amounts, time limits, relocated clauses and cross-references to annexes.
Measure and prepare the handover
Objective: Evaluate the comparison and present its limitations. Expected differences, identified differences, missed differences, false reports and verification of quotations.
What you take away
- Scope sheet for the versions and annexes compared.
- Reusable comparison prompt with quotation requirements.
- Table of verified differences and questions for the legal team.
- Completed checking grid recording missed differences and false reports.
Method and assessment
- Short teaching inputs followed by immediate practice using the ongoing case study.
- Individual work followed by work in pairs, with participants reviewing each other's outputs.
- Guided group discussion: what works, what needs correcting and what remains a human decision.
- Preparation: Arrange access to a generative AI tool authorised by the organisation; check the conditions for processing documents. Provide two readable fictitious versions, their annexes and an answer key reserved for the checking stage.
Observable criteria: The two versions and the annexes included are explicitly identified. ; Each retained difference includes a reference and the available extracts before and after the change. ; Relocations without textual changes are distinguished from amendments. ; Missed differences and false reports are counted using the answer key. ; Uncertain interpretations are phrased as questions requiring validation..
Frequently asked questions
Can you use a real contract?
The exercises use fictitious or anonymised cases, exclusively within tools authorised by the organisation.
Does AI decide whether the new version is acceptable?
No. No sensitive decisions are automated; analysis and validation are the responsibility of a qualified professional.
How should a scanned document be handled?
First check that the extracted text faithfully reproduces the original. An illegible passage is flagged as not compared, never reconstructed.
Do you already need to know how to write a prompt?
No. A template is explained and then tested on short clauses before the file is compared.
