Obligations under control
How can you use AI to turn a contractual file into a register of traceable, assigned and verifiable obligations?

In short
This 7-hour day, excluding breaks, supports the development of a contract register that legal and operational teams can use. Generative AI helps identify commitments without replacing professional interpretation. Participants link each obligation to its clause, organise its monitoring and measure omissions and extraction errors.
Why this training?
Commitments are often scattered across the main contract, schedules and amendments. A list without source references or triggering conditions can lead to monitoring that is premature, incomplete or based on a superseded clause. AI facilitates an initial extraction and a consistent presentation. The method requires checking against the texts, distinguishing explicit obligations from interpretation, and then obtaining validation by a qualified professional before any operational use. Continuing case study: The fictitious organisation « Neroval Capteurs » is preparing to monitor a supply contract containing a quality schedule and two amendments. Delivery, acceptance, confidentiality and renewal have different triggers. Participants must distinguish between applicable commitments, operational responsibilities and points requiring legal judgement. Transfer to the workplace: Apply the template to an authorised file, compare the extraction against an independent legal reading, then agree with operational managers on a review of deadlines and contractual changes.
Objectives of this training
- Define the scope of the contractual document set and identify its versions.
- Extract obligations with exact quotations and locations.
- Identify the obligor, beneficiary, trigger, time limit and expected evidence.
- Assign each commitment to a person responsible for monitoring it.
- Measure omissions, unsupported additions and classification errors.
Who is it for and what are the prerequisites?
Roles and tasks concerned
- Corporate legal advisers and contract management managers.
- Purchasing and sales managers responsible for monitoring commitments.
Prior skills
- Be able to read a contract and distinguish between parties, clauses and schedules.
- Use a generative AI assistant and formulate a structured instruction.
- Work with spreadsheet filters and columns.
What you will work on
Define the scope of the applicable file
Objective: Establish a traceable document set. Documents, versions, signatures, cross-references and document precedence clauses; confidentiality constraints.
Define the register’s level of detail
Objective: Distinguish between an obligation, an option and information. One row per commitment; obligated party, beneficiary, source, condition, time limit, exception and status.
Extract with explicit constraints
Objective: Obtain a verifiable extraction. Structured instruction, exact quotations, unknown fields and a prohibition on filling gaps where the contract is silent.
Link conditions and deadlines
Objective: Avoid deadlines calculated without a valid basis. Relative time limits, triggering events, renewal, dependencies and possible effects of amendments.
Check legal quality
Objective: Measure defects in the extraction. Comparison against the validated model answer; omissions, duplicates, unsupported additions and incorrect classifications.
Organise operational monitoring
Objective: Make the register usable after validation. Responsible persons, supporting evidence, statuses, review frequency and handling of new amendments.
What you take away
- Document set inventory and version log.
- Source-referenced register of obligations and deadlines.
- Reusable extraction instruction with abstention rules.
- Review report and list of matters requiring legal judgement.
- Monitoring matrix: responsible persons, evidence and review frequency.
Method and assessment
- Short teaching inputs followed by immediate practice on the continuing case study.
- Individual work followed by work in pairs, with cross-review of outputs.
- Guided group discussion: what works, what needs correcting and what remains a human decision.
- Preparation: Arrange access to an AI tool authorised by the organisation; work exclusively with fictitious or anonymised cases. Identify the headings used in existing contract monitoring without sharing any confidential document that has not been authorised.
Observable criteria: Each retained obligation refers to a verified quotation and its document version. ; Unknown triggers, exceptions and time limits are explicitly flagged. ; Omissions and unsupported additions are counted through comparison with the reference model answer. ; Each validated row has a proposed responsible person and expected evidence of completion. ; Unvalidated interpretations remain separate from confirmed commitments..
Frequently asked questions
Does AI resolve a contradiction between clauses?
No. It helps identify it; a qualified professional validates the interpretation.
Can a real contract be used?
The exercises use fictitious or anonymised cases, exclusively within authorised tools.
What should you do if a deadline remains ambiguous?
Retain the source wording, flag the uncertainty and request legal validation.
Does the register constitute legal advice?
No. It is a monitoring aid; the applicable regulatory requirements must be checked with your legal department.
